Acceptance of Terms

Welcome to Vendor Vault. These Terms of Service ("Terms") constitute a legally binding agreement between you and Vendor Vault ("we," "us," or "our") regarding your access to and use of our trading card game (TCG) collection management mobile application and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

Age Requirement: You must be at least 13 years old to use our Services. Users between 13 and 18 years old must have parental or legal guardian consent. By using our Services, you represent that you meet these age requirements.

Account Registration and Security

Account Creation

To use our Services, you must create an account with an email address, password, and username. When registering, you agree to:

• Provide accurate and current information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

Account Types

We offer the following account tiers:

• Free: Access to core collection management features with a monthly card scan limit (300 scans per month)
• Pro: Unlimited card scans, vendor name customization, and additional features available through a paid subscription

Description of Services

Vendor Vault is a mobile application for managing your trading card game collection. Our Services include:

• Card Scanning and Identification: Use your device's camera to identify trading cards, including graded cards (PSA, BGS, CGC)
• Inventory Management: Track your card collection with details like condition, grade, purchase price, and current market value
• Vault Organization: Organize your collection into custom vaults and groupings
• Transaction Tracking: Record buy, sell, and trade transactions with pricing history
• Show Directory: Browse upcoming TCG card shows near your zip code and register as a vendor or attendee
• Data Export: Export your inventory as CSV files formatted for eBay or TCGPlayer listings
• Sharing: Generate temporary QR codes to share card lists with other users (lists expire after 7 days)

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice, without liability to you.

Subscriptions and Payments

Pro Subscription

The Pro subscription is available as a monthly or annual purchase through Apple's In-App Purchase system. By subscribing, you agree to:

• Apple's terms and conditions for In-App Purchases
• Recurring billing at the subscription interval you selected
• Managing your subscription (including cancellation) through your Apple ID account settings

Billing and Cancellation

All billing is handled by Apple. We do not process payments directly. Subscription details:

• Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period
• Cancellation takes effect at the end of the current billing period — you retain Pro features until then
• Refund requests must be submitted through Apple's App Store support

Free Tier

Free accounts have access to core features with a limit of 300 card scans per calendar month. This limit resets on the first of each month. All other inventory management features are available on the Free tier.

User Responsibilities

Accurate Information

You are responsible for ensuring that information you provide is accurate. This includes card conditions, pricing, and any profile information you choose to share.

Lawful Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in fraudulent, deceptive, or misleading practices
• Harass, abuse, or harm other users
• Interfere with the proper functioning of the Services
• Attempt to gain unauthorized access to our systems or backend servers
• Attack, probe, scan, or test the vulnerability of our servers or infrastructure
• Use automated systems (bots, scrapers) to access the Services without permission
• Reverse engineer, decompile, disassemble, or attempt to extract source code from the application or any of our backend systems
• Copy, scrape, harvest, or otherwise misappropriate any data from our Services, including but not limited to card data, pricing information, or other users' information
• Infringe upon or misuse Vendor Vault's intellectual property, trade secrets, or proprietary technology
• Upload content that contains malware, viruses, or harmful code

Show Participation

If you register as a vendor or attendee for a card show through the app:

• You are responsible for honoring your registration commitments
• You agree to comply with the show's rules and venue requirements
• You understand that your vendor name may be visible to other show participants
• You agree to sell only authentic trading cards and clearly disclose any reprints or unofficial products

Intellectual Property Rights

Our Intellectual Property

The Services, including all content, features, and functionality, are owned by Vendor Vault and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose.

User-Generated Content

You retain ownership of content you upload (inventory photos, card descriptions, etc.). By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and store your content as necessary to provide the Services. You represent that you own or have the right to upload all content you submit.

Third-Party Intellectual Property

Trading card images, game logos, and related intellectual property belong to their respective owners. Vendor Vault does not claim ownership of these properties. Use of such imagery within the app is for identification purposes only.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

We do not warrant or guarantee:

• The accuracy of card identification, pricing data, or market valuations
• That the Services will be uninterrupted, error-free, or free of defects
• The accuracy or completeness of card show listings
• The conduct or reliability of other users at card shows

Card pricing data is sourced from third-party providers and is provided for informational purposes only. Actual market values may vary. Your use of the Services is at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDOR VAULT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Some jurisdictions do not allow the limitation or exclusion of liability, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Vendor Vault from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Content you submit to the Services
• Disputes with other users

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Vendor Vault is headquartered, without regard to conflict of law principles.

Informal Resolution

Before initiating formal proceedings, you agree to contact us at vendorvaulttcg@gmail.com to attempt to resolve the dispute informally.

Arbitration Agreement

If informal resolution fails, you agree that any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court, except where prohibited by law. You and Vendor Vault agree to waive the right to a trial by jury or to participate in a class action.

Termination

Termination by You

You may delete your account at any time from the Profile settings within the app. Upon deletion:

• All your personal data, inventory, and transaction records are permanently deleted
• Any active Pro subscription must be cancelled separately through your Apple ID settings
• This action cannot be undone

Termination by Us

We reserve the right to suspend or terminate your access to the Services at any time if:

• You violate these Terms or our policies
• We suspect fraudulent, abusive, or illegal activity
• We discontinue the Services
• Required by law or legal process

Effect of Termination

Upon termination, all provisions of these Terms that by their nature should survive will remain in effect, including intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vendor Vault regarding the Services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
